Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Farzad AI platform located at farzad.ai (the "Service"), operated by Farzad AI ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into a binding agreement.

2. Account Registration

You must provide accurate and complete information when creating your account.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
Passwords must be at least 12 characters long.
You must notify us immediately through the support chat inside the app if you suspect unauthorized access to your account.
We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent purposes.

3. Subscription Plans and Billing

3.1 Plans

The Service is offered through paid subscription plans (Starter, Growth, Pro, and Legacy). Each plan includes specific usage limits for content generation, opportunity scans, concept expansions, and other features as described on our pricing page.

3.2 Payment

All payments are processed securely through Stripe, Inc.
Subscription fees are billed on a recurring monthly or annual basis, depending on your chosen billing period.
All fees are stated in U.S. dollars and are exclusive of applicable taxes, which will be added where required by law.

3.3 Plan Changes

Upgrades: when you upgrade to a higher plan, you receive immediate access to the new features and are charged only the pro-rated difference for the remainder of your current billing period.
Downgrades: when you downgrade, you retain access to your current plan's features until the end of your billing period, after which the lower plan takes effect.

3.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support.
Upon cancellation, you retain access to paid features until the end of your current billing period.
We do not provide refunds for partial billing periods unless required by applicable law.

3.5 Failed Payments

If a payment fails, we will notify you by email and may retry the charge. If payment is not resolved within a reasonable period, your account may be downgraded or suspended until the balance is settled.

4. Permitted Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

Use the Service to generate content that is illegal, defamatory, harassing, threatening, obscene, or infringes on the rights of others
Attempt to gain unauthorized access to the Service, other accounts, or our systems
Reverse-engineer, decompile, or disassemble any part of the Service
Use automated tools (bots, scrapers, or similar) to access the Service beyond the provided API, unless explicitly authorized
Circumvent or attempt to circumvent usage limits, rate limits, or access controls
Resell, sublicense, or redistribute the Service or access to it without our prior written consent
Impersonate another person or entity, or misrepresent your affiliation with any person or entity
Upload malicious code, viruses, or any material intended to disrupt the Service

5. Content Ownership and Intellectual Property

5.1 Your Content

You retain full ownership of all content you create, upload, or generate through the Service, including scripts, articles, knowledge base items, and brand voice data ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to process, store, and transmit Your Content solely as necessary to provide and improve the Service.

5.2 AI-Generated Content

Content generated by the Service using artificial intelligence is created based on your inputs, voice profile, and preferences. You own the output generated for your account. However, you acknowledge that:

AI-generated content may not be unique, and similar outputs may be generated for other users with similar inputs
AI-generated content should be reviewed by you before publication or distribution
We do not guarantee the accuracy, completeness, or originality of AI-generated content
You are solely responsible for verifying facts, claims, and statements in AI-generated content before publishing

5.3 Our Intellectual Property

The Service, including its software, design, branding, AI models and configurations, algorithms, and documentation, is the intellectual property of Farzad AI and is protected by copyright, trademark, and other applicable laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without prior written consent.

6. Third-Party Integrations

The Service integrates with third-party platforms and APIs, including but not limited to YouTube, X (Twitter), Stripe, and various AI providers (Anthropic, OpenAI, Google, xAI). Your use of these integrations may be subject to the respective third party's terms and privacy policies. We are not responsible for the availability, accuracy, or policies of third-party services.

When you connect your YouTube channel or X (Twitter) account, you authorize us to retrieve and analyze publicly available data from those platforms to enhance the Service's functionality, such as voice training, content analysis, and trend discovery.

7. Team Workspaces

If your plan supports multiple team members, you may invite others to your workspace by assigning them roles (admin or staff). As the workspace owner, you are responsible for:

Managing team member access and permissions
Ensuring all team members comply with these Terms
Any actions taken by team members within your workspace

8. Usage Limits and Rate Limiting

Each subscription plan includes specific usage allocations (content calls, opportunity scans, concept expansions). Usage beyond your plan's limits will be restricted until your next billing period or until you upgrade your plan. We also enforce rate limits on API and generation endpoints to ensure fair usage and platform stability. Attempts to circumvent these limits may result in temporary or permanent account suspension.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted or error-free operation of the Service.
We may perform scheduled maintenance, during which the Service may be temporarily unavailable.
We are not liable for any downtime, data loss, or service interruptions caused by factors beyond our reasonable control, including but not limited to internet outages, third-party service failures, or force majeure events.

10. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in our Privacy Policy.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

Without limiting the foregoing, we do not warrant that:

AI-generated content will be accurate, complete, or free of errors
The Service will meet your specific requirements
The Service will be uninterrupted, secure, or free of bugs
Any content generated will be original or non-infringing

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FARZAD AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN SUBSCRIPTION FEES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Farzad AI and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights, including intellectual property rights
Any content you create, publish, or distribute using the Service

14. Termination

By you: you may close your account at any time by contacting support through the support chat inside the app. Upon account closure, your subscription will be cancelled and your data will be deleted in accordance with our Privacy Policy.
By us: we may suspend or terminate your account immediately and without notice if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law. We may also terminate the Service entirely with 30 days' advance notice.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Intellectual Property, Disclaimer, Limitation of Liability, and Indemnification) shall survive.

15. Modifications to These Terms

We may revise these Terms at any time. Material changes will be communicated by updating the "Last updated" date at the top of this page and, where appropriate, by notifying you via email. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Farzad AI regarding your use of the Service and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.
